KAMPALA – The Uganda Registration Services Bureau (URSB) has deregistered 37,702 companies from the national register after they failed to apply for restoration following their earlier removal for non-compliance with annual return filing requirements.
According to a public notice issued by the Registrar of Companies on June 18, 2026, the affected entities had previously been struck off the register after failing to file annual returns for five consecutive years, as required under the Companies Act.
URSB said the companies were initially removed through public notices published in July and August 2023. Those affected were given an opportunity to apply for restoration and regularize their compliance status within the prescribed period. However, thousands failed to take advantage of the restoration window, leading to their permanent deregistration.
The Registrar of Companies stated that the exercise was conducted in line with Section 130(6) of the Companies Act, which provides for the removal of companies that remain non-compliant and fail to seek restoration after being struck off the register.
With the latest action, the affected companies cease to exist as legally recognized entities unless they successfully pursue restoration through the legal procedures provided under Uganda’s company laws. Their names will also become available for registration by new applicants after the statutory period expires.
URSB said the move is intended to improve the accuracy and credibility of Uganda’s corporate registry by removing inactive or dormant companies that no longer meet their statutory obligations. The bureau has consistently urged business owners and company directors to file annual returns, update company records, and comply with regulatory requirements to avoid penalties or removal from the register.
Annual returns provide key information about a company, including its directors, shareholders, registered office, and operational status. Failure to file them is often regarded as an indication that a company is no longer active or conducting business.
The deregistration is part of URSB’s ongoing efforts to strengthen corporate compliance, improve governance standards, and maintain an up-to-date business register that reflects active companies operating in Uganda.
